9:30 – 10:10 am: The Issues and Trends of 2018 Chinese Investment in the Biotech Industry—Angel Huang

Given the current trade war between the US and China, Chinese outbound activities in terms of investment amount have dropped 25% according to the recent statistics from Chinese public media. Chinese investors are facing the difficulties in looking for suitable target sectors to make investment due to the restrictions imposed by CFIUS mainly and the Chinese government. However, the development of the Biotech industry is very much supported by the Chinese government and is not a close end from CFIUS review standpoint. Therefore, we have been seeing a booming trend in term of investing in biotech area. Plus, a lot of Chinese scientists are forming the R&D entities in the US to attract the Chinese funding. It is another attractive factor for Chinese money to go to those companies who knows the regulatory approvals and background where the Chinese investors are coming from. Our presentation will cover a few topics:

• Chinese investment trend in Biotech industry

• Chinese/US regulatory approvals and restrictions

• Commonly seen investment structure and terms

• Case study

Witnessing and experiencing the US-China trade war from a front row seat, technology entrepreneurs and returnee scientists are in dire need of guidance to avoid becoming collateral damage in a challenging political and legal environment. Consider the news of late: involuntary departure of faculty members of Chinese background at MD Anderson and Emory University; criminal indictment of Chinese scientists at US pharmaceutical, medical device, semiconductor, and other companies on charges of trade secret theft. We will lead a discussion on trade secret protection and compliance, covering the following topics:

• Importance and Definition of Trade Secrets

• Employee Mobility: why and how employees take information; arriving employees; departing employees

• Litigating Trade Secrets Claims: legal framework; high-profile cases; lessons learned/practical tips
